Terms of Service

CueFlow is a comprehensive cloud-based software solution designed for snooker and billiards club management. Our Service includes, but is not limited to:

• •Real-time table management and booking system
• •Automated billing and payment processing
• •Member and customer management
• •Financial analytics and reporting
• •Integrated canteen management
• •Tournament management features

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3.1 Account Creation: To use CueFlow, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Responsibility: You are solely responsible for all activities that occur under your account. You agree to:

• •Maintain the security of your password
• •Notify us immediately of any unauthorized access
• •Ensure all account information remains accurate
• •Use the Service only for lawful purposes

3.3 Eligibility: You must be at least 18 years old and have the legal capacity to enter into contracts to use CueFlow. By using the Service, you represent and warrant that you meet these requirements.

4.1 Subscription Plans: CueFlow offers various subscription plans with different features and pricing. Current pricing is available on our pricing page and may be updated from time to time.

4.2 Payment Terms:

• •Subscription fees are billed in advance on a monthly or annual basis, as selected
• •All fees are in Indian Rupees (INR) unless otherwise specified
• •Payments are non-refundable except as required by law or as specified in these Terms
• •We accept payment via credit card, debit card, UPI, bank transfer, and other methods as available

4.3 Price Changes: We reserve the right to modify subscription fees. We will provide at least 30 days' notice of any price increases. Continued use of the Service after the price change constitutes acceptance of the new pricing.

4.4 Failed Payments: If payment fails, we may suspend or terminate your access to the Service until payment is successfully processed.

5.1 Trial Period: We offer a free 1-month trial period for new users. During the trial, you have full access to all features of your selected plan.

5.2 Trial Terms:

• •One free trial per user/business entity
• •No credit card required to start the trial
• •At the end of the trial, your account will automatically convert to a paid subscription unless you cancel
• •You may cancel at any time during the trial without charge

5.3 Trial Cancellation: To avoid charges, you must cancel your subscription before the trial period ends. Cancellation instructions are available in your account settings or by contacting our support team.

You agree not to use the Service to:

• •Violate any applicable laws or regulations
• •Infringe upon intellectual property rights
• •Transmit harmful code, viruses, or malware
• •Attempt unauthorized access to our systems or other users' accounts
• •Interfere with or disrupt the Service or servers
• •Use automated systems to access the Service without authorization
• •Collect or harvest information about other users
• •Use the Service for any fraudulent or illegal purpose

Violation of this Acceptable Use Policy may result in immediate termination of your account and legal action.

7.1 Our Rights: The Service, including all software, designs, text, graphics, logos, and other content, is owned by Khushi Catalyst and protected by Indian and international copyright, trademark, and other intellectual property laws.

7.2 License Grant: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use CueFlow solely for your internal business purposes in accordance with these Terms.

7.3 Restrictions: You may not:

• •Copy, modify, or create derivative works of the Service
• •Reverse engineer, decompile, or disassemble the Service
• •Remove or alter any copyright, trademark, or proprietary notices
• •Resell, sublicense, or distribute the Service

7.4 Your Content: You retain ownership of data and content you upload to the Service. By using CueFlow, you grant us a license to use, store, and process your content solely to provide the Service.

8.1 Disclaimer: THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 Limitation: TO THE MAXIMUM EXTENT PERMITTED BY INDIAN LAW, KHUSHI CATALYST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

8.3 Maximum Liability: Our total liability for any claims arising from the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

8.4 Service Availability: We do not guarantee that the Service will be uninterrupted, error-free, or completely secure. We are not liable for any downtime, data loss, or service interruptions.

9.1 Termination by You: You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation takes effect at the end of your current billing period.

9.2 Termination by Us: We may suspend or terminate your account immediately if you:

• •Violate these Terms or our Acceptable Use Policy
• •Fail to pay subscription fees
• •Engage in fraudulent or illegal activities
• •Pose a security risk to the Service or other users

9.3 Effect of Termination: Upon termination, your access to the Service will cease, and we may delete your account data after a reasonable retention period as required by law. You remain responsible for all charges incurred prior to termination.

10.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

10.2 Jurisdiction: Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in India.

10.3 Informal Resolution: Before initiating formal legal proceedings, parties agree to attempt to resolve disputes through good faith negotiation. If informal resolution fails, disputes may be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 2015 of India.

10.4 Class Action Waiver: You agree that any disputes will be resolved on an individual basis and waive any right to participate in class actions or representative proceedings.

12.1 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Khushi Catalyst regarding the Service.

12.2 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

12.3 Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

12.4 Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

12.5 Force Majeure: We are not liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, or internet failures.
